Terms of Service

1 Acceptance & Eligibility

By accessing or using Hubrix AI Suite ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

To use the Service you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• If registering on behalf of a business: have authority to bind that business to these Terms
• Not be located in a country subject to EU or Dutch trade sanctions

2 Service Description & Plans

Hubrix AI Suite provides a private AI workspace platform for teams, including: AI chat, document analysis (RAG), translation, text-to-speech, workflow automation, and custom AI agents.

Credits are consumed per AI interaction. Unused credits do not roll over to the next billing period unless explicitly agreed in writing for Enterprise plans.

3 Account Responsibilities

You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activities that occur under your account
• Immediately notifying us of any unauthorised access at info@hubrix.ai
• Ensuring your team members comply with these Terms
• Providing accurate account information and keeping it updated

Company Admins are responsible for managing their team members' access and ensuring compliance within their organisation.

4 Acceptable Use Policy

4.1 Permitted Use

The Service may be used for lawful business purposes including: document analysis, content creation, translation, research assistance, and workflow automation.

4.2 Prohibited Use

You may not use the Service to:

• Generate, distribute, or store illegal content including CSAM, incitement to violence, or terrorist content
• Infringe intellectual property rights of third parties
• Engage in fraud, phishing, or deceptive practices
• Attempt to reverse-engineer, scrape, or overload the platform
• Process special categories of personal data (Art. 9 GDPR) without appropriate safeguards
• Circumvent credit limits or authentication mechanisms
• Resell or sublicense access to the Service without written authorisation
• Generate content that discriminates based on race, gender, religion, nationality, disability, sexual orientation, or age

5 Payment & Billing

5.1 Billing

Paid plans are billed monthly in advance in EUR via Stripe. Subscriptions auto-renew unless cancelled before the renewal date. All prices are exclusive of VAT (BTW) unless stated otherwise.

5.2 VAT

Dutch BTW (21%) applies to customers within the Netherlands. EU business customers with a valid VAT number may be eligible for reverse-charge (BTW verlegd). Non-EU customers are exempt from Dutch VAT.

5.3 Refunds

We do not offer refunds for partially used billing periods. Exceptions may be made at our sole discretion for service outages exceeding 24 consecutive hours. Refund requests must be submitted within 14 days to info@hubrix.ai.

5.4 Failed Payments

If payment fails, access will be suspended after a 3-day grace period. Data is retained for 30 days after suspension, after which it may be permanently deleted.

5.5 Price Changes

We will notify you of price changes at least 30 days in advance via email. Continued use after the effective date constitutes acceptance.

6 Intellectual Property

6.1 Your Content

You retain all ownership of content you submit to the Service (documents, prompts, outputs). By using the Service, you grant Oceanic Consulting VOF a limited, non-exclusive licence to process your content solely for the purpose of providing the Service.

6.2 Our Platform

Hubrix AI Suite, including its software, design, and documentation, is the intellectual property of Oceanic Consulting VOF. You receive a limited, non-transferable licence to use the Service during your subscription period.

6.3 AI Output Ownership

To the extent permitted by applicable law, AI-generated outputs produced in response to your prompts are owned by you. We make no claim to AI outputs generated during your use of the Service.

7 Confidentiality

Each party agrees to keep the other party's confidential information strictly confidential and not to disclose it to third parties without prior written consent. "Confidential information" includes business data, technical specifications, pricing, and any non-public information.

This obligation does not apply to information that: (a) is or becomes publicly known through no breach of these Terms; (b) was rightfully known before disclosure; (c) must be disclosed by law or court order.

8 Disclaimers & Limitation of Liability

8.1 Service Availability

We target 99.5% monthly uptime but do not guarantee uninterrupted service. Planned maintenance will be announced with at least 24 hours' notice where possible.

8.2 AI Accuracy

The Service is provided "as is." We make no warranties, express or implied, regarding the accuracy, completeness, or fitness for purpose of AI-generated content.

8.3 Limitation of Liability

To the maximum extent permitted by Dutch law:

• Our total liability for any claim shall not exceed the amount you paid us in the three months preceding the claim
• We are not liable for indirect, incidental, consequential, or punitive damages
• We are not liable for losses arising from your reliance on AI-generated content
• We are not liable for third-party AI provider outages or errors

9 Indemnification

You agree to indemnify and hold harmless Oceanic Consulting VOF, its directors, employees, and agents from and against any claims, damages, losses, and expenses (including legal fees) arising from:

• Your violation of these Terms
• Your violation of applicable law
• Content you submit to the Service
• Your infringement of third-party intellectual property rights

10 Term & Termination

10.1 Term

These Terms remain in effect for the duration of your subscription. Trial accounts may be terminated at any time without notice.

10.2 Termination by You

You may cancel your subscription at any time via account settings or by emailing info@hubrix.ai. Cancellation takes effect at the end of the current billing period.

10.3 Termination by Us

We may suspend or terminate your account immediately for:

• Material breach of these Terms
• Non-payment after the grace period
• Illegal or abusive use of the Service
• Reasonable suspicion of fraud

10.4 Effect of Termination

Upon termination, your access ceases immediately. Your data is retained for 30 days, after which it is permanently deleted. Sections 6, 7, 8, 9, and 11 survive termination.

11 Governing Law & Disputes

These Terms are governed by the laws of the Netherlands. Any disputes shall be subject to the exclusive jurisdiction of the competent courts of Rotterdam, the Netherlands.

Before initiating legal proceedings, parties agree to attempt good-faith resolution within 30 days of written notice of a dispute.

For EU consumers, alternative dispute resolution is available via the European ODR platform: ec.europa.eu/consumers/odr.

12 Changes to Terms

We may update these Terms to reflect changes in our services or applicable law. Material changes will be communicated at least 30 days in advance via email and in-app notification. Continued use after the effective date constitutes acceptance.
